Please read these terms carefully. They define the legal relationship between your business and our agency.

Terms of Service Details

1. Service Scope

In Plain English: We build, host, and manage your website so you don't have to. This includes the technical setup, branding, and ongoing updates described in your plan.

Canyon Pass Partners ("we", "us", "Provider") agrees to provide the Client ("you") with the services described in your selected subscription package. This typically includes:

  • Website configuration, branding customization, and deployment.
  • High-performance hosting and SSL certificate management.
  • Google Business Profile optimization (if applicable to your plan).
  • Ongoing technical maintenance and content updates as requested by the Client.

The Provider reserves the right to refuse service to anyone for any reason at any time.

2. Payments & Subscription

In Plain English: You pay a recurring fee to keep your site live and managed. Payments are automatic via Stripe. If a payment fails, we'll pause the service until it's fixed.

Billing: Services are billed on a recurring subscription basis (monthly or annually). Payment is due at the beginning of each billing cycle.

Authorization: By initiating service and providing a payment method, you authorize the Provider to charge the applicable subscription fees to that method via our secure payment processor (Stripe).

Late Payments: If a payment fails, we will attempt to contact you. If payment is not received within 14 days of the due date, the Provider reserves the right to suspend your website, email, and associated services until the account is brought current.

3. Cancellation & Termination

In Plain English: Cancel anytime by email. When you cancel, the site and associated emails go away at the end of the month. You don't get a copy of the site to take elsewhere.

Effect of Cancellation: Your website will remain active until the end of your current paid billing period. After this period, the website will be deactivated. The Service is non-portable: We do not provide source code, site backups, or export files for use on external hosting.

Email Termination: Any email accounts associated with the domain and managed by Provider will be terminated upon cancellation. The Client is solely responsible for backing up email data prior to the end of the service period.

4. Intellectual Property

In Plain English: You own your photos and text. We own the "engine" (the code, the performance scripts, and the design framework). You're renting the site's tech, not buying the code.

Client Content: You retain ownership of all images, logos, and written copy you provide. Upon cancellation, we will provide a download of these raw assets upon request.

Proprietary Technology: Canyon Pass Partners retains 100% ownership of all HTML, CSS, JavaScript, Astro components, and proprietary performance scripts (including Consent Mode v2 logic and GTM deferral systems).

Domain Names: You retain ownership of your domain. If we manage the registration, we will transfer it to you upon request, provided your account has no outstanding balance.

5. Client Responsibilities

In Plain English: Don't give us stolen photos or text. You are responsible for the legality of your business and the content you provide.

The Client warrants they have permissions for all provided content and agrees to indemnify Provider against any third-party legal claims regarding your content.

6. Limitation of Liability

In Plain English: We aim for 100% uptime, but we aren't liable for business losses if a server breaks or Google changes its algorithm.

Services are provided "AS IS." Provider is not liable for indirect, incidental, or consequential damages (including lost profits) resulting from service interruptions or third-party platform changes.
